AVG Rewards is a program that is the property of AVG Technologies USA, Inc. and/or its parents, affiliates or subsidiaries, as applicable (collectively, “AVG”). Any reference to “we,””our” or “us” in the Terms and Conditions refers collectively to AVG. Any reference to “you” or “your” will apply to participants in AVG Rewards. These Terms also apply to your participation in the AVG Rewards Program, as well as your use of the technology associated with the AVG Rewards Program, such as AVG’s internet browser toolbars and loyalty internet Browser Helper Object (“BHO”) that are enabled to work together (collectively, with any other applicable AVG proprietary software, product or service, the "Technology"). Accordingly, any reference to restrictions, limitations and conditions with respect to the use of the Program shall also apply to the use of such Technology.

We encourage you to review these Terms periodically for any updates or changes. Usage of the BHO after such change constitutes your automatic and constructive acceptance of changes to the AVG Rewards Program.

By Participating in AVG Rewards, you agree to the following Terms:

• A.Overview of the Rewards Program:
• 1. The AVG Rewards program (the “Program”) is a promotional program sponsored by AVG through which participants will be offered the opportunity to earn points based on purchases through the BHO or on www.avgrewards.com. The BHO consolidates special offers from affiliate merchants networks and participating merchants. The BHO can be used for online shopping using Internet Explorer 7.0+, Mozilla Firefox and/or Google Chrome.

• B. Eligibility
  • 1. The Program is open to legal residents of the 50 United States (and the District of Columbia who are 13 years and older at the time of enrollment. If you are under 18 years of age your parent/legal guardian must accept the terms on your behalf. Void where prohibited by law.
  • 2. Participation in the Program constitutes the participant's full and unconditional agreement: (a) to these Terms and Conditions and (b) the Privacy Policy and End User License Agreement
  • 3. Employees, officers, directors, and representatives of AVG and the immediate family members (spouse, parents, siblings and children) and/or those living in the same household of any such persons are not eligible.
  • 4. The Program is provided to individuals only. Corporations, associations, or other groups may not participate in the Program.

• C. Duration
  • 1. The current duration of the Program is two (2) years beginning on November 1, 2012 and ending on November 1, 2014 at 12:00 midnight EDT but AVG reserves the right to extend, shorten, and/or otherwise modify the program duration at any time.

• D. Enrollment
  • 1. To enroll in AVG Rewards, Participants will need to download and install the BHO. Points will automatically accrue but cannot be redeemed until registration is completed at avgrewards.com.
  • 2. Participants may also create an account directly at avgrewards.com.

• E. Reward Points
  • 1. Rewards Points (“Points”) can accumulate towards the redemption of any of the AVG Products listed in relevant product section of the AVG Rewards website.
  • 2. The Points can only accrue through Qualifying Transactions undertaken through the Merchants. Participating Merchants are those which are listed on the AVG Rewards website or identified so directly through the BHO (“Merchant”)
  • 3. Points have no cash value and cannot be redeemed for cash, prizes, or credit. Points are not exchangeable. Points are not transferable. All Points redemptions are final.
  • 4. Points accumulated during the Program Period must be redeemed within 12 months of the last accrual of Points. If the Program is terminated, any remaining Points will be valid and redeemable for 12 months after the date of termination. Any points remaining in a Participants AVG Rewards Account after the expiration period described above will be forfeited without compensation.
  • 5. Points must be earned in the manner set forth below by November 1, 2014 or the termination date of the Program, unless extended or otherwise modified by AVG.
  • 6. The AVG Rewards Site will list the value required to redeem each AVG Product. Participant must follow the instructions to redeem points and claim rewards. AVG reserves the right to modify the list of items available for Points redemption, as well as their corresponding values, at any time for any reason during the Program Period.
  • 7. AVG Rewards Points will be awarded for any Qualifying Transactions from third party sellers of products and/or services that are approved by AVG and formally associated with the Program. A "Qualifying Transaction" means a purchase, subscription or other transaction or action made through BHO and/or on www.avgrewards.com with respect to a Merchant for which (i) a valid offer exists from a Merchant (each, an "Offer"), (ii) as determined by Merchant, in its sole discretion, all of the Merchant's offer terms, including any applicable waiting period, have been met in full and (iii) as determined by AVG in our sole discretion.
  • 8. Points are only earned for Qualifying Transactions initiated through the BHO or on avgrewards.com. Transactions placed directly with any Merchant are not Qualifying Transactions and you will not be awarded any points for such transactions. Unless the terms of a particular offer expressly state otherwise, any purchase or other transaction that qualifies as a Qualifying Transaction shall only yield Points once per customer/user.
  • 9. Upon notification of a Qualifying Transaction from a Merchant, AVG will post the amount of the AVG Rewards Points into your AVG Rewards Account within thirty (30) business days. Points awarded will be variable based on agreements with the Merchants and any special promotions AVG or the Merchants may offer. The amount of Points earned for each particular Qualifying Transaction may differ from Merchant to Merchant and their amount is set by AVG in its sole discretion.
  • 10. When the required number of points accumulates in your AVG Rewards Account, you may select to redeem your points for one of the AVG products listed in the products section of the AVG Rewards website. Once selected, AVG will send a product license key to the registered email address. This key can be used to activate a paid license for relevant AVG Product(s) to complete the redemption of the product.

• F. Modifications and Termination of the Program
  • 1. AVG reserves the right to modify any of the Terms and Conditions set forth herein - including, but not limited to, the duration of the Program Period, Merchants and affiliates, methods by which enrollees can earn AVG Rewards, the amounts earned for each Qualifying Transaction, and the number of points that may be required to Redeem Rewards.

• G. Cookies
  • 1. In order for us to track your Qualifying Transactions with Merchants and for you to receive Rewards Points for those Transactions, you must use an internet browser with the option to “accept cookies” turned on. This tracking function is performed using cookies both from our affiliate networks and with many of the Merchants. If your browser blocks cookies, we may not be able to award AVG Rewards Points for your Qualifying Transactions. You may not receive notification that your browser is blocking cookies.

• H. Privacy
  • 1. The Privacy Policy will apply to this Program and to all information that we receive from your registration in the Program. Please read the Privacy Policy on http://www.avg.com/us-en/privacy before registering for the Program.
  • 2. Personal information may be used to: (a) contact participants regarding the Program; and (b) if a participant selects to receive additional information, to send additional information to that participant.
  • 3. By using the BHO you agree that we may collect and use certain information and data relating to your use. We may collect information about you, your purchase activities, your use of the Technology, activity on the internet with the Technology, and your activities and Transactions with Merchants.
  • 4. To accumulate and qualify for AVG Rewards Points you authorize Merchants and their respective affiliate networks to disclose to us information regarding purchases made, products ordered, order number, the time and date the purchase occurred, and the email entered for the purchase. You authorize us to use any such information and to disclose such information to relevant parties providers as reasonably required to operate the Reward programs and other Technology and otherwise in accordance with our Privacy Policy.
  • 5. Merchants and affiliate networks utilized for AVG Rewards operate their websites with different privacy practices. We have no access or controls over the usage of any cookies or the collection and dissemination of additional information they may collect.

• H. Privacy
  • 11. The Privacy Policy will apply to this Program and to all information that we receive from your registration in the Program. Please read the Privacy Policy on http://www.avg.com/us-en/privacy before registering for the Program.

  • 3. By using the BHO you agree that we may collect and use certain information and data relating to your use. We may collect information about you, your purchase activities, your use of the Technology, activity on the internet with the Technology, and your activities and Transactions with Merchants.
  • 4. To accumulate and qualify for AVG Rewards Points you authorize Merchants and their respective affiliate networks to disclose to us information regarding purchases made, products ordered, order number, the time and date the purchase occurred, and the email entered for the purchase. You authorize us to use any such information and to disclose such information to relevant parties providers as reasonably required to operate the Reward programs and other Technology and otherwise in accordance with our Privacy Policy.
  • 5. Merchants and affiliate networks utilized for AVG Rewards operate their websites with different privacy practices. We have no access or controls over the usage of any cookies or the collection and dissemination of additional information they may collect.

• I. Fraud
  • 1. The Program is provided to individuals only. Corporations, associations or other groups may not participate in the Program. It is fraudulent for any individual or company, association, or group to direct, encourage, or allow individuals to use a single account for the purpose of accumulating points for combined use.
  • 2. Personal information may be used to: (a) contact participants regarding the Program; and (b) if a participant selects to receive additional information, to send additional information to that participant.

• J. Limitations & Disclaimers
  • 1. Points accrue through purchases at participating Merchants; we cannot guarantee that all qualifying purchases are accurately reported by the Merchants. Participating Merchants are those which are listedon the AVG Rewards website or identified so directly through the BHO (“Merchant”). If the Merchant fails to report to us any Transaction that you believe to be a Qualifying Transaction, we will not award you any Rewards Points unless and until the Merchant properly reports the Transaction as a Qualifying Transaction.
  • 2. AVG reserves the right in its sole discretion to modify, add, remove or change (1.) the number or value of Rewards Points (2.) the types of Qualifying Transactions, and (3.) the participating merchants.
  • 3. Participants are responsible for ensuring their AVG Rewards Account information is accurate and up to date. In addition, they are entirely responsible for maintaining the security and confidentiality of the account, passwords and all transactions and activities associated with the account
  • 4. Please refer to each Merchant's website and your Merchant contract for all conditions relating to your Transaction with a Merchant, including but not limited to, payment terms, shipping, delivery, taxes, return policies, guarantees and warranties, and processing of returns. We make no warranties and disclaim responsibility for fulfillment of any Transaction including liability for indirect damages, expectation damages, lost profits or any other similar damages associated with your use of the BHO or our technology related to fulfillment of a transaction or receipt of goods.

• K. Intellectual Property
  • Any and all intellectual property rights in, and/or directly or indirectly related to, concerning, or arising from the Technology, BHO, and AVG Product(s) (“Intellectual Property”) are, and at all times shall be, the sole and exclusive property of AVG. Nothing in these Terms should be interpreted to transfer any right, interest or title in the Intellectual Property to the Participant.

• L. Miscellaneous
  • 1. This Program is void where prohibited or restricted by law. You are responsible for abiding by all applicable laws and all internal codes of conduct, purchasing guidelines, and similar policies regarding gifts and promotional offers.
  • 2. Local sales tax, VAT, levies, bank charges and any other applicable taxes or charges may apply to this promotion or to any reward shall be payable by the Participant.
  • 3. The terms of the End User License Agreement accompanying any AVG Product(s) redeemed by Participant must be accepted by Participant and govern the use of such AVG Product(s).
  • 4. Every effort has been made to ensure that the information in this document is accurate. AVG is not responsible for printing errors.
